Dentons hosted the latest in a series of successful workshops across the Middle East for key corporate and financial institution clients on hybrid debt capital markets issuances.

These are instruments, in the form of bonds or Sukuk, that are seen as debt instruments but have significant equity-like characteristics and benefits. The series is run by Capital Markets partner Alex Roussos assisted by senior associate Beene Ndulo.

The latest event, held in Dentons’ Doha office this week, is part of Dentons DCM 2014 roundtable series. It follows roundtables in Abu Dhabi and Dubai in February and March, with the next in the series to take place in Riyadh. Senior representatives from major corporate, government-related and financial institution clients of the firm were in attendance.

The roundtables explore a broad range of topics including reasons why a corporate or financial institutions would issue a hybrid bond/ Sukuk, the main characteristics of hybrid bonds/ Sukuk and how they differ from plain vanilla instruments, key considerations for the documentation and marketing process, and legal opinions and other conditions precedent which are specifically relevant to hybrid deals.

Alex Roussos, commented, “We are delighted with the excellent turnout and the positive feedback received for these events. Hybrid bonds and Sukuk are becoming increasingly important funding tools for corporate and financial institution issuers in the region, and sometimes can be a necessity from a regulatory or credit rating perspective.”
